The Services have been designed to enable our Website users to upload, submit, or post certain content, which includes, but is not limited to, software, graphics, videos, audio clips, data and information to the Website. GoodWorldCreations LLC does not endorse and has no control over any submission by our Website users. In the event you post content to the Website, GoodWorldCreations LLC reserves the right to screen such content but does not guarantee that it will do so. All decisions on whether or not to retain, disseminate or remove content posted by you shall be made by GoodWorldCreations LLC in its sole discretion.

All interchanges are solely between you and such organizations and/or individuals. In the event of a dispute between you and any organizations and/or individuals found on or through the Service, you shall indemnify, release us and hold us harmless from any and all claims, damages, liabilities and demands arising out of or in any way related to such disputes and our Service. Moreover, you agree to indemnify and hold GoodWorldCreations LLC and its affiliates, officers, agents, employees, partners and licensors harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of (i) content you submit, post, transmit, modify or otherwise make available through the Website and, (ii) your use of the Website.
The terms and conditions contained in this Section shall survive any termination of this Agreement.
Registration
During the registration process, you will create a User ID and Password. You agree to provide us with accurate and complete information when you register. We reserve the right to refuse registration or terminate or cancel a User ID at any time, in our sole discretion. You are solely responsible for any activity that occurs on your account and you agree to immediately notify us of any unauthorized use of your account.
Project Submission
GreenUnite.com is a platform that is designed to enable fundraising, volunteer postings, event ticket sales and other projects for certain users. GoodWorldCreations LLC does not oversee the performance of any projects.
GoodWorldCreations LLC shall not become involved in any dispute between Seeders and Creators. Creators are responsible for fulfilling obligations and commitments set forth in the applicable project listing they create in the Service. GoodWorldCreations LLC reserves the right to cancel or terminate or remove a project listing at any time in its sole discretion.
The Service allows you to submit, transmit and upload your Project content to the Website. In connection with such submission, you grant to us a, perpetual, non-exclusive, royalty-free, world-wide right to use, (and permit Website users to use) distribute, collect, host, and display, the Project content (including any trademarks, service marks, or other proprietary right), in connection with the Service. If applicable, you agree to pay all royalties and other amounts owed to any individual or entity due to your submission of your content to the Service as contemplate herein.
User Submission and Posted Materials
In the event that you post or transmit, submit, input or upload information and content to the Website, you represent and warrant that you (i) own or control all rights to all content and information in your submission to the Website (or it is otherwise in the public domain), (ii) have all intellectual property rights in and to the content and information; and (iii) the content and information does not infringe or violate the proprietary rights of third parties. In addition, you automatically grant GoodWorldCreations LLC and GreenUnite.com users under your intellectual property rights, a royalty-free, perpetual, non-exclusive, worldwide license (with the right to grant sublicenses) to use, copy, modify, distribute, publicly display, prepare derivative works of, perform, and otherwise exploit such information, without compensation to you. You acknowledge and agree that GoodWorldCreations LLC has the right to delete or modify any of the content and information that you submit.
In addition, you agree that you will not (and shall not permit any third party to): post, email, transmit, upload, submit or otherwise make available any content or material that: (i) is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, or language that is racially, ethnically or otherwise objectionable, (ii) contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment, (iii) encourages conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate applicable law or regulation.
GoodWorldCreations LLC reserves the right to edit, refuse to post, or to remove any content, in whole or in part, which in its sole discretion believes violates the provisions herein, or is otherwise objectionable.
Fees:
There are no fees for posting Projects, however, we do charge fees for certain Services. Fees are collected by our various payment processors. The fees are subject to change at any time. Prior to your use of the Services on GreenUnite.com, you will be given an opportunity to review and accept the fees that will be charged to your credit card. GoodWorldCreations LLC makes no warranties or guarantees regarding the performance of its payment processors and, GoodWorldCreations LLC does not guarantee or warrant the receipt of all funds. You agree to pay all fees and applicable taxes associated with your use of GreenUnite.com and submission of a Campaign or donation. In the event you terminate your Services, all fees payable to GoodWorldCreations LLC are non-refundable.
Fees Associated with Charitable Donations
GoodWorldCreations LLC has entered into an arrangement with a third-party payment processor and FirstGiving to take your charitable donations. FirstGiving will handle the credit card processing and charitable disbursements for charitable donations in excess of $5.00. A third-party payment processor will process credit card transactions for charitable donations less than $5.00. In the event you give a charitable donation through the Website, you acknowledge and agree that: (i) there are no refunds, of any type, of your charitable donation, (ii) the charitable donation and any transaction and processing fees will be charged to the credit card that you provide to us and such credit card must be authorized for use by you, and (iii) you are responsible for any inaccuracy in selecting the charity for your charitable donation, and you may not direct how the money is to be spent by the specific charity.
FirstGiving's platform, through the Website, will give you the ability to submit donations for registered 501(c)(3) charitable organizations. FirstGiving handles the financial transaction to the applicable charitable organization, providing a receipt to you (if applicable) and disbursement of money to the intended charitable organization. Please note while FirstGiving will disburse your money, FirstGiving's name will appear on your credit card statement. In connection with your charitable donation through the FirstGiving platform, you agree to the foregoing and you further agree that FirstGiving will charge your credit card and remit such fees, less the associated transaction and processing fees, to the respective charitable organization(s). FirstGiving will forward the charitable donations received through the Website to the applicable charitable organization every month. The date your donation is received by the applicable charitable organization is dependant on the date FirstGiving, received your charitable donation. Your charitable donation will be sent to the applicable charitable organization less the transaction and processing fees described below.
When donations are processed through FirstGiving, the transaction and processing Fees are 9% which include credit card processing fees, charity disbursement fees and GoodWorldCreations LLC's administrative fee.
Fees Associated with Donations to Campaigns (Non-Charitable)
All donations to Campaigns can be made via credit card on the Website. GoodWorldCreations LLC has entered into an arrangement with a third-party payment processor to process your Campaign donations via a credit card. In the event you donate to a Campaign on the Website, you acknowledge and agree that: (i) there are no refunds, of any type, on your donation, and (ii) the donation and any transaction and processing fees will be charged to the credit card that you provide to us and such credit card must be authorized for use by you. A fee of 9% shall apply which includes credit card processing fees and administrative fees.
Refunds
If you dispute a credit card charge for a donation through the Website, such refund request shall be made in writing by you.
Intellectual Property Rights
The Website and the Services are expressly owned by GoodWorldCreations LLC, its affiliates or its third party licensors.
Modification of Website Terms and Conditions of Use and Additional Terms and Conditions
Notwithstanding any provision herein, GoodWorldCreations LLC reserves the right, in its sole discretion, at any time, to change or modify from time to time and/or terminate this Website, the Terms of Use or these additional terms and conditions. Your use of the Website and continued use of the Services following any such modification constitutes your agreement to follow and be bound by the Terms of Use and the additional terms and conditions, as modified.
Notices and Electronic Communications
You hereby consent to receive communications from GoodWorldCreations LLC electronically. GoodWorldCreations LLC may send you emails or post notices on the website. You acknowledge and agree that all electronic notices, agreements, and disclosures made electronically to you by GoodWorldCreations LLC satisfy all legal requirements.
Force Majeure
GoodWorldCreations LLC's performance of the Services shall be excused in the event of interruption and/or delay due to any act of God, act of governmental authority, act of the public enemy or due to war or terrorism, the outbreak or escalation of hostilities, riot, fire, flood, civil commotion, insurrection, labor difficulty (including, without limitation, any strike, or other work stoppage or slow down), severe or adverse weather conditions, communications line failure, or other similar cause beyond the reasonable control of GoodWorldCreations LLC.
Entire Agreement
These additional terms and conditions, the Terms of Use and our Privacy Policy relate only to this Website and embody the entire understanding between the parties with respect to this Website and supersede any and all prior representations and agreements, if any, oral or written, with respect to this Website.
Severability
Should any provision of these additional terms and conditions, the Terms of Use or our Privacy Policy be deemed to be unenforceable or illegal by a court, such provision shall be valid and enforceable to the extent permitted by applicable law, and the validity and enforceability of the other provisions shall not be affected thereby. Failure of GoodWorldCreations LLC to enforce any provision of these Terms of Use or of the Privacy Policy shall not constitute or be construed as a waiver of such provision or of the right to enforce such provision.
Choice of Law; Choice of Forum
These additional terms and conditions, the Terms of Use and Privacy Policy shall be governed by and in accordance with the laws of the State of New York, United States.
Assignment
GoodWorldCreations LLC reserves the right to assign its rights and obligations under these additional terms and conditions, the Terms of Use and the Privacy Policy.
